Welcome to Secret AI. These Terms of Service govern your use of our website and services. Please read these terms carefully before engaging our services. By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Important Notice: These Terms are a legal contract. If you do not agree to these Terms, please do not use our services. For enterprise clients or custom arrangements, please contact us to discuss tailored terms.

1. Agreement to Terms

By accessing or using Secret AI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Secret AI ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Services Description

Secret AI provides MVP development services including: • AI Website Development - Custom websites and web applications • AI Chatbots & Voice Agents - Conversational AI solutions • Automation Workflows - Process automation using n8n, Make.com, and Twilio • Custom AI Integration - Bespoke AI implementations using OpenAI, Anthropic, and other technologies Services are provided on a project basis with deliverables, timelines, and specifications agreed upon in a separate Statement of Work (SOW) or project agreement.

3. Payment Terms

Payment Structure: • Custom pricing based on project scope and requirements • Milestone-based payments as outlined in project agreement • Typical payment schedule: 50% upfront, 30% at midpoint, 20% upon completion • Payments processed via Stripe, PayPal, or bank transfer Payment Terms: • Invoices are due within 7 days of receipt unless otherwise specified • Late payments may incur a 1.5% monthly interest charge • Services may be suspended for overdue payments exceeding 14 days • All prices quoted in USD unless otherwise stated Refund Policy: • Milestone-based refunds available if deliverables don't meet agreed specifications • Non-refundable: completed work, third-party service costs, research and discovery phases • Refund requests must be submitted in writing to support@secretai.in within 7 days of delivery

4. Intellectual Property Rights

Client Ownership: • You own all custom code and deliverables created specifically for your project • Upon full payment, all intellectual property rights transfer to you • You receive complete source code and documentation Secret AI Ownership: • We retain rights to pre-existing code, templates, and proprietary tools • We may use generalized learnings from your project for future work • We retain rights to showcase your project in our portfolio (with permission) Third-Party Components: • Open-source libraries remain subject to their respective licenses • Third-party API services are subject to their terms of service • You are responsible for obtaining necessary licenses for third-party services

5. Project Timeline and Deliverables

Timeline Commitments: • Typical MVP delivery: 2-4 weeks from project kickoff • Specific timelines outlined in project agreement • Timelines may be extended due to scope changes or client delays Client Responsibilities: • Provide timely feedback and approvals (within 48 hours for standard requests) • Supply necessary materials (content, images, API keys, access credentials) • Make timely milestone payments • Be available for scheduled meetings and check-ins Delays and Extensions: • Client-caused delays may extend timeline and incur additional fees • Major scope changes require timeline and budget re-evaluation • Force majeure events may cause reasonable delays without penalty

6. Warranties and Disclaimers

Our Warranties: • Services will be performed in a professional and workmanlike manner • Deliverables will substantially conform to agreed specifications • Code will be free from material defects for 30 days post-delivery Bug Fixes and Support: • Critical bugs fixed free of charge within support period (1-3 months based on plan) • Support includes bug fixes, not new features or scope changes • After support period, maintenance available at standard hourly rates Disclaimers: • SERVICES PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND • WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS OR ROI • We are not responsible for third-party service outages or changes • We do not warrant uninterrupted or error-free service • We are not liable for data loss (clients responsible for backups)

7. Limitation of Liability

To the maximum extent permitted by law: • Our total liability shall not exceed the amount paid by you for services in the 6 months preceding the claim • We are not liable for indirect, incidental, special, consequential, or punitive damages • We are not liable for lost profits, data loss, business interruption, or loss of goodwill • We are not responsible for acts or omissions of third-party service providers Exceptions: • Limitations do not apply to liability for fraud, gross negligence, or willful misconduct • Limitations do not apply where prohibited by applicable law

8. Confidentiality

Mutual Obligations: • Both parties agree to keep confidential information private • Confidential information includes business plans, technical specifications, trade secrets • Obligations survive termination of services Exceptions: • Information that becomes publicly available through no fault of receiving party • Information independently developed without use of confidential information • Information required to be disclosed by law or court order (with notice) Client Data: • We implement reasonable security measures to protect your data • We do not access client data except as necessary to provide services • We do not share client data with third parties except as specified in Privacy Policy

9. Termination

Termination by Client: • You may terminate with 14 days written notice • You are responsible for payment for all work completed • Deliverables completed to date will be provided upon payment Termination by Secret AI: • We may terminate for non-payment after 14 days of invoice due date • We may terminate immediately for breach of these Terms • We may terminate with 30 days notice for any reason Effect of Termination: • All outstanding invoices become immediately due • We will provide deliverables for paid work • Confidentiality obligations survive termination • Client must cease using any incomplete or unpaid deliverables

10. Dispute Resolution

Informal Resolution: • Disputes should first be addressed via email to support@secretai.in • We commit to good-faith negotiation for 30 days Mediation: • If negotiation fails, parties agree to attempt mediation before litigation • Mediation costs split equally between parties Arbitration: • Unresolved disputes subject to binding arbitration • Arbitration conducted under rules of recognized arbitration body • Arbitration location: [Your jurisdiction] Class Action Waiver: • You agree to resolve disputes on an individual basis • You waive any right to participate in class action lawsuits

11. Governing Law
